Excerpt: ...his estate.. unto the said trustee in manner and upon the trusts hereinafter appearing and expressed and that the parties hereto of the third part shall release the said assignor from the said debts." The deed then purported to grant and assign to Morgan.Iafi'ey, the present claimant, the property and effects of the assignor (the defvmiant) "upon the trusts hereinafter expressed concerning the same (that is to say) upon trust as soon as conveniently may be to sell and convert into money vollfifit and get in all the said premises." The deed contained the following declaration: ---" And it is hereby declared that the said trustee his executors or administrators shall hold and stand possessed of the moneys which shall come to his hands under or by virtue of these presents upon trust in the first place to pay and discharge the cost of and incidental to the carrying out of the trusts of these presents.. And in the next place to pay and discharge in full And in the next place to pay and divide the residue then remaining of the said moneys to and amongst the several firms and persons parties to the third part rateably and in case any surplus remains after all such payments as aforesaid and of the creditors in full shall pay over such surplus to the said assignor his executors or administrators. Provided .." The deed also witnessed " that in consideration of the grant and assignment hereinbefore made and coiitained and of the premises the parties to these presents of the third part (subject nevertheless to the provisoes hereinafter contained) do and each of them doth so far as relates to the debt or demand due to themselves respectively hereby acquit release and discharge the said assignor of and from the several...show more
