Excerpt: ...Os. 5d., leaving a balance of 3357i. 7s. 20l.; that, while Clayton was ill in bed, he and the deponent discussed their business and financial position, and what should be done in case of his (Clayton's) death, and they agreed that the business could not be sold at that time without a great sacrifice, and it was arranged that the deponent should purchase Clayton's interest at the value shown on taking an account under the provisions of the terms of the deed of partnership; that, if the partnership assets had been sold at Clayton's death, a heavy loss would have been incurred. For the purpose of carrying out this agreement, the deponent agreed, at the request of Clayton, to act as his executor. In accordance with the agreement, the deponent had an account taken immediately after Clayton's death, but prior thereto he consulted Mrs. Clayton as to the position and business and the arrangement so made, and fully explained the matter to her, and she was perfectly satisfied therewith and that the account should be taken. After probate of Clayton's Will was granted to the deponent, the accounts were fully explained to Mrs. Clayton, she expressed herself quite satisfied, and it was then arranged that the testator's share in the business should he taken over by the deponent at the balance shown, and that he should be at liberty to retain such balance in the business until he was in a position to take the amount out of the business, and invest the same in accordance with the testator's Will; and that, in the interim, he should allow her interest thereon at 8 per cent. per annum.
