Excerpt from Sixth Annual Report, 1904-1905 The most interesting development of the past Season is the institution of the Capital Fund. Under a Clause in the Articles dealing with the Application of Funds all entrance fees of new Members, life membership subscriptions, and donations made, and sums bequeathed to the Society (except such donations or bequests as shall be accompanied by directions to the contrary), together with such other sums as shall be decided by the Society in General Meeting, must be placed to the credit of the Society's Capital Account, and the Council of Management has no power, without the consent of Members, to devote these funds to any other purposes than those specified in the Clause Of the Memorandum of Association dealing with the leasing or erection and the equipment of a theatre for the use of the Society. It was further provided by a Resolution passed at the final Meeting of the unincorporated Society, held on Monday, 29th August, 1904, at Clifford's Inn Hall, that any balance of funds remaining after the payment Of the expenses Of this Meeting, the cost of printing and circulating the Annual Report, and any other claims against the Society that may arise, be transferred to the Capital Account of the Incorporated Stage Society; and further that all Books, Furniture and other property be likewise handed over to the Incorporated Stage Society.
