The Finance Committee shall have special and general charge and control of all financial affairs of the Company. The General Counsel, the Treasurer, the Comptroller and the Secretary, and their respective offices shall be under the direct control and supervision of the Finance Committee. During the intervals between the meetings of the Board of Directors, the Finance Committee shall possess, and may exercise, all the powers" of the Board of Directors in the management of the financial affairs of the Company, including its purchases of property, and the execution of legal instruments with or without the corporate seal in such manner as said Committee shall deem to be best for the interests of the Company, in all cases in which specific directions shall not have been given by the Board of Directors. During the intervals between the meetings of the Finance Committee, and subject to its review, the Chairman thereof shall possess, and may exercise, any of the powers of the Committee except as from time to time shall be otherwise provided by resolution of the Board of Directors, or of the Finance Committee, but not of the Executive Committee. Except as otherwise provided by the By-Laws, or by resolution of the Board of Directors, all salaries and compensations paid or payable by the Company shall be fixed by the Finance Committee.
