C0mpany--A-rt-icles of A.raociatim--Lien of Company on Shares for Money due from Shareholders--Ea: ecut' on Creditor--Judgment "Charging Order under 1 Q' 2 Vict. c. 110--Priority----Notice--Company's Lien thrown on a Portion of a Mom-ber's Shares in Ezoneration of other Shares transferred by him.--Ono of the articles of association of a company provided that it should have a primary and paramount charge and lien upon every share in which a member of the company was interested, for any debt due to the company, or liability to it, and that the company might enforce such charge and lien by sale or otherwise. Another article provided that until execution of the deed of transfer by both parties, and entry of the transferee thereunder on the register of members, the transferor should remain and be for all purposes the owner of the shares expressed to be transferred, and the member in respect thereof. B., who held 565 shares in the company, and owed the company 115 odd, transferred 525 of such shares to G., who had no notice or knowledge of such debt, but the company's secretary refused to register the transfer till the debt was paid. G. then asked the company to have recourse to the remaining forty shares, which, ho said, were more than suflicient to satisfy their charge, in exoneration of the shares transferred to him, but this the company declined to accede to. In June 1892, S. and F. got a charging order on the forty unlransferred shares in respect of a judgment obtained against B.
