Excerpt: ...Ridgway, acting for the Sussex Land and Cattle Company, and the said Dudley and Hoffecker, respondents, and said Sparhawk, acting for the said creditors, agreed upon a plan for ending the litigation against said Miller, which became annoying to the said company, by the terms of which the said attaching creditors were to sell and assign to the Sussex Land and Cattle Company the said judgments which they obtained against said Miller, aggregating about $100,000, the said company giving as consideration therefor its promissory notes for said sum of $100,000 and interest due and costs, with mortgages and certain real estate securities assigned as collateral security for the payment of the same. 12. That, in accordance with said agreement, said Joslin, Bacon and Ridgway and Dudley, Sparhawk and Hoffecker, drafted a resolution to be passed by the board of directors of said Sussex Land and Cattle Company, for the purpose of carrying into effect the settlement agreed upon, which authorized and directed the officers of the said Sussex Land and Cattle Company to purchase said judgments against said Levi H. Miller, with the collaterals belonging thereto, by giving its promissory notes for the amount of said judgments with interest and costs, payable at such times as said officers might deem proper, and could be best arranged for the interests of the stockholders of the company. 13. At a subsequent meeting of said Joslin and Bacon, and said Dudley, Sparhawk and Hoffecker, in the absence of said John J. Ridgway, attorney for said company, said Edward Dudley altered the resolution, drafted as above, by inserting after the words, "interest and costs," wherever occurring, as a part of the consideration of the purchase of said judgments against...show more
